Multi-stakeholder terms
Enablement, a regional VP and Legal each want something different from a $180,000 deal.
We're not signing a success package until we see adoption guarantees. Legal also needs liability language changed.

Rep brief
Everything the seller may know before the call.
- Shared deal brief
- You sell for SignalCoach. Summit Energy Services (enterprise field sales) is reviewing LaunchPad Platform + Success Package at $180,000 annual. Security review complete; Enablement accepted the business case. Regional VP Marcus Hale and Legal counsel Diane Cho joined the commercial call. National sales kickoff is six weeks out.
- Authority limit
- You can phase the success package and add an adoption review. You cannot offer outcome guarantees or unlimited liability. Legal redlines go only through deal desk language.
- Non-negotiables
- No “guaranteed adoption” clause. No unlimited liability.
- Tradable terms
- Phased rollout, checkpoint metrics the customer owns with your support, liability within standard, kickoff date, executive readout.
- Alternative
- Close platform-only with success deferred, or walk if legal demands are outside playbook.
- Guidance
- Name the likely fears early: unused tools, manager time and liability exposure. Ask what an adoption checkpoint would need to look like in practice. Keep each agenda with the person who owns it.

Buyer brief Private
For the person playing the buyer. Keep the difficulty at hard for the first attempt and the retry.
- Open with
- “We're not signing a success package until we see adoption guarantees. Legal also needs liability language changed.”
- Interests
- Champion: launch before sales kickoff. Marcus Hale: avoid another unused tool. Diane Cho: standard liability cap and data terms. Play one buyer with three agendas, or assign three people.
- Authority limit
- The champion cannot change legal terms. Hale can block budget release. Cho can approve redlines within playbook; anything outside needs the GC. Share only if asked which clauses are standard.
- Non-negotiables
- Cho will not accept unlimited liability. Hale will not fund the success package without a measurable adoption checkpoint.
- Tradable terms
- Phased success scope, adoption review date, liability cap within playbook, payment timing, pilot region before full rollout.
- Alternatives
- Delay to next half, run internal certification only, or keep the incumbent LMS-based practice.
- Curveball
- Hale's real fear is manager time; the dollar amount matters less. A discount on the success package that does not change manager workload leaves him blocked. Reveal only after the seller asks what an adoption guarantee would look like in practice.
- How to react
- If the seller discounts the success package, Hale stays blocked.
- If the seller asks what an adoption checkpoint must show, Hale names manager time.
- If the seller negotiates legal terms with the champion, the champion defers to Cho.

Debrief
- Did the seller negotiate with the right person on each issue?
- Which conflict was interest-based versus policy-based?
- What issue should have been sequenced first, and did naming the fears early change the tone?
